Job Description

BNY Mellon Global Corporate Development (“GCD”) is tasked with assisting the BNY Mellon Executive Committee (“EC”) to develop and execute both organic and inorganic strategies that enable the firm to meet its externally stated goals for growth and profitability.  Members of the team work directly with the CFO and EC members on project assignments that include a balance of:

1. Merger, Acquisition & Divestiture Execution – GCD performs the role of “in house” investment banker in all but the largest transactions at BNY Mellon. This entails leading the M&A (including joint ventures) and divestiture process involving all aspects of these transactions; generating deal flow, working with the business’s executive sponsors and other key constituents, e.g., tax, to assess  the strategic rationale and impact of potential transactions, leading the valuation process, coordinating due diligence , leading/participating in contract negotiations, working with legal to ensure the best possible contractual terms (and protections) are negotiated as well as in seeking regulatory approval (when necessary), interacting with investment bankers (where appropriate), and presenting findings and recommendations to the EC. 

2. Organic Growth Initiatives – GCD members are corporate thought leaders and bring a sophisticated level of financial expertise to the process of assessing strategic initiatives.  Projects include identifying and assessing the potential implications of developing/launching new products, entering new markets, cross line-of-business partnerships, or the implications of organizational restructuring.  GCD works with the business sponsor (generally an EC or Operating Committee ("OC”) member) and the line-of-business (“LoB”) finance team to develop their business case and assist in the financial modeling; focusing on identifying key drivers of value, challenging the assumptions, and modeling sensitivity analysis around those drivers. 

3. Outsourcing Transactions – GCD works with the line-of-business teams to assess the financial impact of outsourcing transactions.  Our role involves reviewing key driver assumptions in the financial model, working with Tax and Accounting to verify implications of deal terms, challenging the LoB assumptions, and ensuring that the deal meets financial return hurdles

Across all of four categories of projects, GCD must develop data-driven insights for delivery to an EC / Board-of-Director level audience.  Using analytical rigor, and ensuring adequate  collaboration across the businesses and shared service functions , we analyze and recommend courses of action that directly contribute to BNY Mellon’s financial results.

The Senior Transaction Manager (“STM”) is responsible for managing all aspects of GCD projects.  The incumbent will oversee the completion of complex analytical financial modeling and presentations containing key findings and recommendations.  In addition, the STM will take the lead role on execution of the most complex M&A transactions, divestitures, and joint ventures, while overseeing and working with junior team members on other transactions, in all cases working with and ensuring that coordination and collaboration exists between the line of business and all other key internal constituents. This begins with working with the LoB to evaluate the strategic fit, importance and potential risks of a potential transaction or project, and concludes with the execution of a purchase (or sale) agreement and closing (for M&A or Ventures) and internal approval for other projects. Specific internal tasks include setting project goals, evaluating/challenging business model and financial assumptions developed by the LOB, facilitating the project through the internal approval process, and presenting analysis and recommendations to EC/OC members. The STM must be able to individually represent BNYM in meetings with external parties and advisors.  They must fully conversant in corporate and contract legal practices  in order to have the ability to create and evaluate complex transaction structures, as well as the ability to work closely with the legal team to develop negotiating positions and tactics and then to effectively negotiate terms and deliver and defend BNYM’s position to the other side.  In order to be successful in the role, the STM must have excellent interpersonal skills and be able to lead and influence others.  A STM must have the ability to build relationships with Business Partners and LoB contacts at all organizational levels in order to collect necessary data/information quickly and influence team members that are not direct reports. 

The STM will be responsible for presenting analytical findings, business model assumptions, and project recommendations to the most senior level of the organization, including the CEO Approval Group and SRC.  In some cases, the STM may prepare and assist in presenting deal structures and analysis to Bank Regulators in order to seek approvals. 

The STM will have managerial responsibility for junior members of the team and would be supported by junior team members of the staff on project work as necessary. 

The individual must be self-motivating and possess the highest level of task prioritization and multi-tasking skills, managing their time between leading transactions and managing other members of the team.

The qualified candidate would have 7+ years of relevant post MBA transaction experience, ideally involving mergers and acquisitions or leveraged finance work.
