Description A seasoned attorney with broad institutional investment management experience.  The ideal candidate will have experience counseling SEC registered investment advisers.  Primary responsibilities include:
  • Provide day-to-day legal advice regarding advisory and asset management activities, including various legal and regulatory matters arising under the Investment Advisers Act of 1940, ERISA and the Investment Company Act of 1940.
  • Provide ongoing advice on the impact of EU asset management regulatory initiatives (e.g. MIFID II, GDPR) on SEC registered investment advisers.
  • Negotiate agreements in support of the business, including engagement letters, investment management agreements and trading-related documentation (e.g., brokerage agreements, futures agreements, ISDA documentation).
  • Review of marketing and sales material, and assistance with preparation of RFPs.
  • Provide advice and assist in implementation of new product/service initiatives.
  • Establish and provide ongoing advice concerning bank collective trust funds and private funds (i.e., hedge funds).  Draft/review fund-related documentation, including offering memoranda, subscription documents and side letters.  Negotiate fund service provider agreements.
  • Work with Compliance in drafting and updating various compliance policies and procedures.

Qualifications

  • JD; -4-7 years of relevant experience.
  • SEC experience a plus.
  • Experience advising foreign asset managers a plus.
  • Strong written and oral communication skills.  Ability to interact with senior decision makers.
  • Critical analytical skills and ability to bring a holistic perspective to businesses that operate in a multi-faceted and changing legal/regulatory environment.
