Senior Managing Counsel-Global Head of Executive Compensation and Benefits
The Global Head of Executive Compensation and Benefits Attorney will report to the Global Head of Regulatory Enforcement, Investigations, and Employment, and will head a global team of lawyers focused on executive compensation, benefits and related tax issues. The attorney will support the Human Resources Compensation and Benefits department in the design, maintenance and compliance of all benefit plans, short and long-term incentive plans, equity compensation, and deferred compensation plans. Responsibilities will include advice on tax issues such as IRC 409A, ERISA fiduciary and pension investment issues, compliance and benefits related work on corporate transactions including acquisitions, dispositions and restructurings. The position will support the negotiation and documentation of executive compensation arrangements including employment, incentive, retention, and separation agreements. The position will also provide advice on compensation-related corporate and securities law matters (such as proxy disclosures), ERISA and other employee benefits litigation, and will coordinate closely with the employment law function on litigation risk avoidance and management. The position will require familiarity with international laws relating to benefits, equity compensation and social insurance compliance
QualificationsThe successful candidate will be a highly experienced attorney, having at least 12 years prior relevant work experience in a related role, preferably in the legal department of a corporation; prior law firm experience may be considered. Proven ability to lead and manage a team of professionals is required.
