Group Manager, Corporate Governance & Board Support
Supports senior management by helping to align corporate governance within a business/business partner area, across multiple business/business partner areas and/or across regions. Manages a team or teams of Corporate Governance staff responsible for the Board of Director/committee meetings in various regions. Possesses a thorough understanding of corporate governance issues as they relate to the conduct of company board meetings and records retention. Evaluates complex situations using multiple sources of information. Recognized within the business as the go to person to address board support related matters. Oversees a full range of services to various subsidiaries of the Corporation. Serves as escalation point for any issues or roadblocks; shepherds issues through to resolution. Oversees the preparation and maintaining of files and records of Board and Committee meetings in accordance with by-laws and legal requirements of federal, state, and local jurisdictions and by other regulatory authorities. Manages the day to day operations of the Corporate Governance/Board Support function by advising the Board/committee to fulfill statutory and/or regulatory obligations in corporate governance related matters. Maintains relationships with outside regulatory agencies to present information as required for various regulatory reports and examinations. Acts and influences on behalf of senior staff to maintain records with respect to authorized signing authority for officers of the corporation and its various subsidiaries. Represents compliance with policies and standards to senior management, internal and external auditors and regulatory bodies.
QualificationsBachelor s degree or the equivalent combination of education and experience is required. 10-12 years of total work experience with 1-3 years of management experience, preferred. Corporate Governance experience is preferred, JD a plus.
