Job Description

The Corporate Secretary (CS) under the supervision of the Fund Administration Manager (FAM), will be responsible for providing board support and corporate secretarial services to The Bank of New York Mellon s Offshore Fund Management subsidiary, BNY Mellon Fund Management (Cayman) Limited (BNY Mellon Cayman) during semi-annual Fund meetings in accordance with Cayman authority guidelines. This position reports to the FAM. Responsibilities include: Assist with the scheduling and organization of Trust Committee fund meetings. Assist with the oversight function by serving as the minute taker in Trust Committee fund meetings ensuring meeting protocol is followed. Liaising with fund service providers and other industry professionals for scheduling and obtaining necessary documentation, presentations and financials for inclusion in the board packages. Organising and attending Trust Committee meetings, including preparing agendas, gathering documentation and allocating board packs. Preparing detailed minutes of Trust Committee fund meetings and follow up on action points. Arranging for execution of trust and fund documentation. General office duties and internal and client special project assignments as and when necessary.. Minimum Experience At least five years previous experience in a similar corporate secretarial role and experience in the fund industry. Previous minute taking experience is essential and knowledge of Cayman regulatory governance as well as the Cayman Islands Investment Fund and Trust industry will be an advantage. Minimum Language Skills English - Excellent verbal and written communication and sound organizational skills are essential. Preferred Education A corporate secretarial qualification is desirable for the position, if not held a commitment to undertake a course to gain such qualification is required. Preferred Experience Knowledge of Cayman Islands laws (The Trust Law, The Mutual Fund Law, Corporate Governance Guidelines, The Companies Law, AML Regulations). Preferred Language skills English Other Able to routinely attend conference calls outside office hours. Proficient in the use of Microsoft suite of applications
