Managing Counsel – Corporate Trust – New York

BNY Mellon’s Legal Department is seeking an experienced corporate trust attorney to join its team to provide counsel and guidance to BNY Mellon’s Global Corporate Trust business. The position will be based in New York.


This position will be responsible for providing legal advice to the Corporate Trust business line in connection with all types of bond and note transactions where we act as trustee or in a similar capacity. This position reports to the Associate General Counsel who supports the Corporate Trust business. The position entails, among other duties: (i) providing legal advice to ensure that all Corporate Trust transactions comport with BNY Mellon documentation standards, and contain all protections necessary in the context of such transaction; (ii) working with the Transaction Management Group to negotiate legal documentation for specific transactions; (iii) assisting business staff with respect to issues arising during the post-closing administration of Corporate Trust transactions; (iv) advising on proposed regulations and compliance with existing regulations; (v) drafting legal documents;  and (vi) reviewing marketing materials.



The preferred candidate should have a minimum of 5 years of legal experience in the financial services industry with significant experience in corporate debt and securities, structured finance, and project finance, and specific experience representing corporate trustees in connection with such transactions.



JD degree. Minimum 5+ years’ experience representing major banks in corporate debt transactions.
