Job Description

FX and Derivatives –Counsel


Attorney dedicated to supporting the FX and derivatives business, which is part of BNY Mellon’s Markets business. The attorney will support the FX & Derivatives desk by providing legal advice, negotiating contract and other general support to the desk.


Key Responsibilities Include:


  • Prepare and negotiate legal contracts, such as ISDA Master Agreements, Credit Support Annexes (including the new Initial Margin Credit Support Annexes and Credit Support Deeds), Account Control Agreements, Guarantees and other ancillary documentation (New York and English law)

  • Review netting and collateral enforceability opinions to make enforceability decisions and to identify required and recommended language for contracts in negotiation

  • Work closely with Compliance, Credit and Risk partners and other internal lawyers to develop our standards and fallbacks for the new Initial Margin Credit Support Annexes and Credit Support Deed

  • Create, review and revise templates and negotiation guides

  • Assist with departmental projects, such as compliance with the regulated initial margin rules, developing our procedures with respect to netting and collateral enforceability and enhancing and managing our templates and fallbacks.

  • Review and or draft policies and procedures related to contract negotiation and netting and collateral enforceability

  • Identify and explain relevant legal issues and risks to Business, Compliance, Credit and Risk partners

  • Manage outside counsel engaged to assist the Business

  • Monitor and advise on relevant legal and regulatory developments

  • Participate in industry advocacy as part of relevant industry groups



  • 3-7 years of experience at a law firm or large financial institution dealing with derivatives, as well as repo and securities lending preferably

  • Experience with ISDA Master Agreements and other industry standard trading agreements (MRAs, MSLAs, MSFTAs, etc)

  • Knowledge of current regulatory issues impacting the derivative industry, including the Dodd Frank Rules, Basel III Rules, Prudential Regulators Margin Rules, QFC Stay Rules & ISDA Stay Protocol, LIBOR transition etc.

  • Detail oriented, with ability to multi-task and prioritize to meet deadlines

  • Ability to effectively establish and maintain collaborative working environment with legal members and internal business teams

  • Law degree (J.D.) and licensed to practice law in New York
